PATRON SIX BLUE SHARKS ASSOCIATION
BY-LAWS
PREAMBLE
We,
a self-appointed group of former squadron mates of United States Navy, Aircraft Squadron, Patrol Squadron Six (VP-6) "The Blue Sharks", in order to perpetuate and preserve the memory and heritage of this great "Guardian of the Seas" and to reunite and enhance the camaraderie, respect and fellowship among it’s members, preserve the Squadron’s heritage and uphold the principles and purpose of good citizenship through dedication of our allegiance to the United States of America and fidelity to it’s Constitution and Laws, and provide a means for this Association to continue through the coming years, do hereby establish, enact, publish and adopt these By-laws for and on behalf of the PATRON SIX BLUE SHARKS ASSOCIATION.
MISSION STATEMENT
The PATRON SIX BLUE SHARKS ASSOCIATION is a nonprofit, mutual benefit, Veterans organization
composed of members who were attached to United States Navy, Aircraft Squadron, Patrol Squadron Six. The Association was established on October 22, 2003 as filed with the Orange County Clerk-Recorder, Santa Ana, CA. The mission of the Association is to re-establish and maintain the camaraderie developed among members of Patrol Squadron Six (VP-6), preserve the history of the squadron, facilitate contact between VP-6 squadron mates and support and report on the Association and Era Group reunions.
ARTICLE I
NAME
The name of this association shall be the "PATRON SIX BLUE SHARKS ASSOCIATION". Hereinafter, referred to as "THE ASSOCIATION".
ARTICLE II
PURPOSE
THE ASSOCIATION shall be an unincorporated, nonprofit organization, not affiliated with the U.S. Department of the Navy, which has as its sole purpose and intent the scheduling and conducting, at intervals to be determined by its membership, reunions and meetings of shipmates, and the establishment of communication within it’s membership,
in furtherance of the principles set forth in the Preamble of these By-laws.
ARTICLE III
OPERATING YEAR
The operating year of THE ASSOCIATION shall be from January 1 through December 31 each year.
ARTICLE IV
MEMBERSHIP
Full membership in THE ASSOCIATION
shall be extended to all persons who were assigned or attached to VB-146, VPB-146, VP-ML-6 or VP-6 upon payment of annual dues and submission of a Member Information Form. THE ASSOCIATION also accepts for membership surviving dependents of previous VP Six Squadron members. Honorary membership may be bestowed upon any individual recommended by the Board of Directors and approved by the President for his or her interest, contribution and promotion of the objectives of THE ASSOCIATION
ARTICLE V
OFFICERS
The officers of THE ASSOCIATION shall be the President, Vice President, Secretary, Treasurer and Webmaster. Officers shall be drawn from the membership and elected by a simple majority during the final business meeting at each
Annual General Reunion held by the membership. Officers shall serve until a successor is elected and installed. If an office becomes vacated for any reason, before the next election, the vacancy may be filled by appointment by the President of THE ASSOCIATION. A Nominating Committee for the election of new officers of the board shall consist of a committee of five members of the Association; three of these members shall be from the existing board of officers and two members appointed by the President from the general membership.
ARTICLE VI
BOARD OF DIRECTORS
The direction of THE ASSOCIATION shall be vested in the Board of Directors, which board shall consist of the elected officers and, if appointed, at large representatives including THE ASSOCIATION past-Presidents. The board members shall be responsible for presentation
to the President of items for discussion and member concerns to be brought up at the next scheduled reunion.
ARTICLE VII
FINANCES
Annual membership dues for THE ASSOCIATION year or any part thereof shall be at a rate to be determined by the general membership, as required for the financial stability of the Association, except that dues received from new members after December 1st will qualify the new member for membership through the following year. Dues shall be payable to the PATRON SIX BLUE SHARKS ASSOCIATION and shall run from January to January. Collected funds
shall be used for administrative and mailing expenses, seed money to purchase discount quantities of patches and other squadron logo items, board approved memorial costs and to maintain the patronsix.com and myfamily.com web site.
ARTICLE VIII
BUSINESS MEETINGS
THE ASSOCIATION shall conduct general business meetings for its general membership during regular scheduled reunions at which time reports from officers and matters of concern submitted by members and the Board of Directors may be discussed. The general membership meeting shall also include an election of officers and appointment of volunteer area and/or ERA Group representatives, as required. The Board of Directors of THE ASSOCIATION shall conduct no less than one meeting at each scheduled reunion, and such other "called" meetings
as the President may deem appropriate.
ARTICLE IX
REUNIONS
Reunions shall be scheduled on a regular basis as a means to promote camaraderie, respect and fellowship among THE ASSOCIATION members. Nominations for the dates, frequency, and sites of future reunions shall be determined by member surveys. Final selection of inclusive dates and sites for reunions shall be determined by majority vote from the surveys.
ARTICLE X
DUTIES OF OFFICERS
The PRESIDENT Shall:
- Serve as CEO of THE ASSOCIATION;
- Be authorized to sign all Association checks;
- Prepare the agenda for and preside over Annual Association meetings;
- Plan, with aid of Board Officers, the objectives, projects, programs, meetings and Annual Reunions of THE ASSOCIATION;
- Meet, or conference via e-mail or phone, with officers as necessary to be sure all are aware of and are carrying out assigned duties;
- Prepare THE ASSOCIATION calendar with dates of meetings, events, and activities; Serve as a spokesperson on all policy issues;
- Administer a recognition and ceremony program for selected members at reunions;
- Maintain awareness of
significant dates ahead, e.g. Projects and Reunions;
- Administer THE ASSOCIATION participation in approved Projects;
- Call or e-mail officers to remind them of due dates for committee status reports and dates of meetings;
- Create and update Member database on computer consisting of Member listings and assign Board Officer to maintain a master copy and administer distribution to members;
- Attend and preside over THE ASSOCIATION Annual Reunions;
- Create THE ASSOCIATION Annual Newsletter and coordinate distribution and website posting;
- Serve on
the Nominating Committee for selection of a new slate of officers;
- Appoint Directors to carry out duties as may be defined in THE ASSOCIATION By-laws;
- Make interim appointments to the Board of Directors when vacancies occur or when deemed necessary for the good of THE ASSOCIATION.
- Direct the efforts of Board Officers from THE ASSOCIATION office at the residence of the President, as required, to answer and assist association members and complete assigned duties;
- Assume other powers and perform other duties as prescribed by THE ASSOCIATION Board or contained in the current By-laws;
The Vice President Shall:
- Assume the duties of and act on behalf of the President, in his absence;
- Be available for any Chairmanship or Duties as assigned by the President or Board of Directors;
- Serve on
the Nominating Committee for selection of a new slate of officers, as directed by the President; if appointed;
- File renewal of THE ASSOCIATION "Fictitious Business Name Statement" once every five years. The "PATRON SIX BLUE SHARKS ASSOCIATION" first filing was on October 22, 2003 with the Orange County Clerk-Recorder located in Santa Ana, CA. Also responsible for advertising in a local Newspaper, such as the, Orange County Register, once a week for one month;
- In conjunction with the President, keep the Historian’s Book updated with the most current documentation that describes Association business;
- Be timely and responsive to all correspondence, emails and telephone calls, pertaining to association business;
- Be authorized to sign all Association checks;
- Prepare proposed agenda for Annual, Special and Member meetings (if called) and insure proper notice of any such meeting is given to current members of record;
- Assume
other powers and perform other duties as prescribed by THE ASSOCIATION Board or contained in the current By-laws;
The SECRETARY Shall:
Carry on the affairs of THE ASSOCIATION generally under the supervision of the Officers and shall attend all meetings of the Executive Board and act as clerk thereof and record all votes and minutes of all proceedings in the books to be kept for that purpose;
Mail to the members, THE ASSOCIATION calendar with dates of meetings, events and activities;
Issue notices of meetings of THE ASSOCIATION and the Executive Board and perform such other duties as may be specified by the Executive Board or President, under whose joint supervision he/she shall act;
- Keep minutes of all meetings of THE ASSOCIATION and the Executive Board;
- Maintain
custody of all records and documents of THE ASSOCIATION, except those required to be maintained by the Treasurer;
- Maintain the Register of Members and update the computer database so a copy of the Master Roster can be distributed to members and so the members "Names Only" may be posted monthly on the web site;
- Receive and give prompt attention to, and keep accurate records of correspondence;
- Serve on
the Nominating Committee for selection of a new slate of officers, as directed by the President, if appointed;
- Maintain records of all the proceedings of THE ASSOCIATION;
- Keep accurate email addresses so correspondence from the board can be distributed correctly. All correspondence to Individuals with no email address must be sent by regular US Mail;
- Assume
other powers and perform other duties as prescribed by THE ASSOCIATION Board or contained in the current By-laws;
The TREASURER Shall:
- Shall be responsible for the receipt, control, disbursement and accounting of all funds of THE ASSOCIATION and maintain complete financial records of the PATRON SIX BLUE SHARKS ASSOCIATION;
- Prepare and submit an Annual Financial Statement to the Officers of the Board by 31 January for the previous calendar year;
- Maintain monies, funds, and assets of THE ASSOCIATION in a bank account in the city of residence of the Treasurer. These funds will be deposited in an interest bearing account;
- Establish the account in the name of PATRON SIX BLUE SHARKS ASSOCIATION within 14 days of election as Treasurer. Prepare signature card for authorization of Treasurer, Vice President and President on the account; only one signature required on any check;
- Advise THE ASSOCIATION Board if any proposed funds expenditures do not appear to be in the best interest of THE ASSOCIATION;
- Deposit all membership dues, reunion assessments and other monies received in the PATRON SIX BLUE SHARKS ASSOCIATION account and pay all legitimate expenses of THE ASSOCIATION as they become due;
- Be authorized to sign all Association checks;
- Serve on
the Nominating Committee for selection of a new slate of officers, as directed by the President, if appointed;
- Assume
other powers and perform other duties as prescribed by the Board or contained in the current By-laws;
The WEBMASTER Shall:
- Maintain and administer the MyFamily.com web site and a web site devoted to Patron Six, which shall support THE ASSOCIATION in achieving the goals of its Mission Statement. This web site shall be known as patron six.com;
- Shall post, as a minimum, the following information on the Patron Six web site:
- THE ASSOCIATION Mission statement;
- By Laws, Articles and Officer duty descriptions;
- Announcements for upcoming Patron Six Association and Era Group reunions;
- Reunion, members, historical and other photographs;
- A web page devoted to Patron Six logo items for sale by THE ASSOCIATION;
- THE ASSOCIATION current membership "Names Only" listing. He shall work closely with the Secretary and Treasurer to ensure that the membership listing is accurate and kept up to date;
- Once each year, the Webmaster shall prepare a statement reporting on the status of the web sites;
- Other
Association information as may be approved by the Board;
- Serve on
the Nominating Committee for selection of a new slate of officers, as directed by the President; if appointed;
- Assume
other powers and perform other duties as prescribed by THE ASSOCIATION Board or contained in the current By-laws;
The Board of Directors Shall:
- Provide advice and consent and direct the business and financial affairs of THE ASSOCIATION as prescribed by the President.
The
AREA and ERA GROUP COORDINATORS Shall:
- Maintain Area and Era Group Members listing, updated at least semi-annually. This listing should be divided into two lists; one that lists members with email access and the second list with US Mail and phone access only.
- Membership updates should be submitted via email to the Secretary and Webmaster semi-annually.
- Association actions that require Association membership vote or approval, which shall be by majority vote, should be communicated to the members by email, US mail or telephone and responses of Area Group members summarized and forwarded to THE ASSOCIATION Secretary.
- Obtain and submit association reunion attendance estimates, requirements and requests of the Area and Era Group members and submit them to the reunion chairman.
- Assist the designated association reunion Chairman as requested or required,
- Submit notices of illness or death to the Webmaster for inclusion in the patronsix.com website for In Remembrance posting.
ARTICLE XI
MISCELLANEOUS
- No part of THE ASSOCIATION funding shall inure to the benefit of private individuals who hold any interest in the undertakings of THE ASSOCIATION.
- Indemnification: All serving Directors or Officers of THE ASSOCIATION shall be held
not personally liable against all expenses and liabilities, including counsel fees, reasonably incurred, or imposed upon that party in connection with any proceeding to which that person becomes involved by reason of holding office in THE ASSOCIATION except in cases wherein the Director or Officer is adjudged guilty of willful misfeasance or malfeasance in the performance of his or her duties.
- THE ASSOCIATION
shall not discriminate on the basis of age, color, disability, gender, national origin, political affiliation, rate, rank, or veteran status.
- In the event of dissolution of THE ASSOCIATION, its assets shall be donated to the National Naval Aviation Museum in Pensacola, Florida.
ARTICLE XII
AMEND
MENTS
Those ASSOCIATION members present at
the Annual business meeting may amend these By-laws by a two-thirds majority vote of members present, subject to ratification by US Mail or E-mail ballots returned to the Association Board by two-thirds majority of the current membership
These By-laws are hereby approved and adopted on _October 11, 2005.
